Introduction

        Ministry of Corporate Affairs has mandated filing of eForm CSR-1 by implementing entities intending to undertake CSR activities for all CSR projects effective from 1st April 2021. MCA has announced that eForm CSR-1 is now live for Filing on MCA Portal and advised stakeholders to file the Form as soon as possible. A unique CSR Registration Number shall be generated for all entities submitting Form CSR-1

What is CSR-1?

CSR-1 is a registration form that is filed in order to get CSR funding. The Ministry of Corporate Affairs made it mandatory that all entities undertaking Corporate Social Responsibility (CSR) have to file eForm CSR-1 for all their CSR projects. This form is signed and submitted digitally after verification by a Chartered Accountant (CA), Company Secretary (CS) or Certified Management Accountant (CMA). This is done to monitor CSR spending in the country.

Eligibility Criteria for NGO to receive CSR

The conditions for an NGO to receive CSR funds from a company only if are as follows:
  • A section 8 company Registered under section 12A and 80G of the Income Tax and have at least 3 years of undertaking charitable activities.
  • A registered public trust Registered under section 12A and 80G of the Income Tax and have at least 3 years of undertaking charitable activities.
  • A registered society Registered under section 12A and 80G of the Income Tax and have at least 3 years of undertaking charitable activities.
Note: CSR spending through an unregistered NGO is not eligible for counting towards CSR activities.

Procedure for Filing of Form CSR-1

The following steps can be used for filing the Form CSR-1 on the MCA portal.
  • The applicant needs to access the official website of the Ministry of Corporate Affairs to file Form CSR-1. By login into the portal, the applicant can upload the Form CSR-1
  • After login to the portal, enter a valid ‘Corporate identity number’ (CIN) for cancellation of unused issued Share of one class and increase in share capital.
  • Select the purpose of the eForm from the drop-down menu and in case of others selected, specify the entity in the description box

Declaration and Designation

Select any one of the options from the drop-down values for declaration and digitally sign the Form CSR-1.

  • In case the person digitally signing the Form CSR-1 is a Director, approved DIN need to be provided.
  • In case the person digitally signing the Form CSR-1 is Manager, enter approved DIN or valid income-tax PAN.
  • Membership number need to be filed, in case the person digitally signing the Form CSR-1 is Company Secretary

Detailed Process to get CSR-1

Upload Documents

By clicking on the attach button, the required document can be uploaded and click on the pay the payment button for making the fee.
On successful submission of the Form CSR-1, the eForm will be processed by the office of the Registrar of Companies.

SRN Generation

SRN will be generated and displayed to the applicant on successful submission of the Form CSR-1. This SRN will be used for future correspondence with MCA.

Get Acknowledgement

When the Form CSR-1 is completely processed by the authority, an acknowledgement will be sent to the official mail of the company.

Get CSR Registration Number

On the submission of the Form CSR-1 on the portal, a unique CSR Registration Number shall be generated by the system automatically.

Challan Generation

On successful submission, a challan will be generated depicting the details of the fees paid by the user to the Ministry. It is the acknowledgement to the applicant that the Form CSR-1 has been filed.

Is it mandatory for an NGO to do CSR-1 registration?

Yes, it is mandatory for an NGO to do CSR-1 as soon as possible if they seek CSR funding. If they don’t seek CSR funding this isn’t essential.

How long does it take to get the CSR-1 registration done?

CSR-1 registration gets done within 1 week from the date of submission of all the documents properly.

Do I have to be physically present during the process?

The process is 100% online. So, it doesn’t require your physical presence at any stage. Relax in the comfort of your home while we take care of everything.

I am a trustee of a registered trust, do I need to file Form CSR 1 to get the CSR funding?

A Registered Section 8 Company or a Registered Public Trust or a Registered Society that is registered under Section 12AB and Section 80G of Income Tax Act, 1961 and have an established track record of minimum 3 years of undertaking charitable activities are required to file Form CSR 1.

Who shall sign the Form CSR-1?

The Form CSR-1 shall be digitally signed by:
1. In case of Section 8 Company: Any director who is not disqualified under provisions of Companies Act, 2013
2. In case of Registered Public Trust: One of the Trustee/ CEO
3. In case of a Registered Society: Chairman/ CEO/ Secretary
4. In case of an entity established under an Act of Parliament or State Legislature: Authorized representative on their behalf
5. It shall also be ensured that the Form is digitally verified by a Chartered Accountant/ Company Secretary/ Cost Accountant in full time practice.
